1. Introduction
Welcome to Revolv ERP (“Platform”, “Software”, “Service”), owned and operated by In Centre Solutions (“Company”, “We”, “Us”, “Our”), headquartered in Mumbai, India. These Terms & Conditions (“Terms”) govern your, Access to our website www.revolverp.com Subscription and use of Revolv ERP Interaction with our modules, dashboards, APIs, tools, and mobile applications Engagement with our support, training, and onboarding services By accessing or using Revolv ERP, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, please discontinue access and usage immediately.
2. DEFINITIONS
For purposes of these Terms:
“Client”, “User”, “You”, “Your” refers to any individual or entity using the Software. “Subscription Plan” means the paid license or SaaS plan purchased. “Authorized Users” refers to employees, contractors, or agents permitted to use the Software. “Data” means all business, operational, personal, and transactional information uploaded or generated on the Software. “Confidential Information” refers to proprietary or sensitive information shared between parties. “Agreement” refers to the legally binding contract formed by these Terms.
3. ACCEPTANCE OF TERMS
By subscribing, registering an account, or using Revolv ERP, you:
Enter into a legally binding agreement
Confirm that you are authorized to represent your company/entity
Agree to abide by applicable laws and regulations
Consent to data processing outlined in our Privacy Policy
These Terms apply to all current and future modules, updates, and services unless stated otherwise.
4. SCOPE OF SERVICES
Revolv ERP provides cloud-based and on-premise enterprise resource planning and customer relationship management services, including but not limited to:
Inventory Management
Production & Recipe Management
Accounting, GST, E-Invoices & E-Waybill
Logistics & Route Planning
Sales & Distribution
HRM & Payroll
Franchisee Management
Analytics & BI
Mobile Application Access
AI-Driven Features & Forecasting
The Company reserves the right to:
Modify modules
Add new features
Discontinue any part of the Software
Update pricing or service terms
Release improvements and security patches
5. ACCOUNT REGISTRATION & RESPONSIBILITIES
To access the Software, you must create an account and provide accurate information.
You agree to:
Maintain confidentiality of your login credentials
Ensure authorized use by permitted individuals only
Immediately notify us of unauthorized access
Keep your profile and company details updated
Remain responsible for all actions under your account
We are not liable for losses arising from stolen credentials or unauthorized use caused by user negligence.
6. SUBSCRIPTION, FEES & PAYMENT TERMS
6.1 Subscription Plans
Revolv ERP operates on a subscription model (monthly/quarterly/yearly) unless mutually agreed for an on-premise perpetual license.
6.2 Billing & Invoices
All prices are exclusive of GST and applicable taxes.
Invoices must be paid within the payment terms mentioned (typically 7–30 days).
Late payments may result in suspension of access.
6.3 Refund Policy
All subscription payments, setup fees, customization fees, or development charges are non-refundable, except in cases covered under a signed SLA or special agreement.
6.4 Renewal & Cancellation
Subscriptions automatically renew unless cancelled in writing.
Users must back up their data before cancellation.
We may charge reactivation fees for re-enabling a suspended account.
7. CUSTOM DEVELOPMENT, INTEGRATIONS & CHANGE REQUESTS
For customizations, integrations, or workflow modifications:
Work will be estimated separately
Requirements must be documented and approved
Timelines depend on complexity
Additional charges apply
Source code and IP remain the property of In Centre Solutions unless explicitly transferred via a written contract
8. DATA OWNERSHIP & RIGHTS
8.1 Client Data
All operational data entered into the system by the client remains your property.
8.2 Platform Ownership
All software code, frameworks, workflows, databases, algorithms, and intellectual property remain the exclusive property of In Centre Solutions.
8.3 Data Access
We may access data solely for:
Technical support
Security monitoring
Bug fixing
System optimization
Compliance & legal obligations
8.4 Data Backups
We maintain automated backups but do not guarantee recovery of user-deleted data.9. DATA SECURITY & PRIVACY
We apply industry-standard security measures, including:
SSL & HTTPS encryption
Encrypted passwords
Role-based access control
Multi-layer firewalls
Regular audits, backups, and vulnerability scans
However, no digital platform is fully immune to risks. The user is responsible for securing
their credentials and network environment.
Use of the Platform is subject to our Privacy Policy, which forms part of this Agreement.
10. CONFIDENTIALITY
Both parties agree to:
Protect all confidential information
Use it solely for the purpose of this Agreement
Not disclose information to third parties without consent
Confidentiality obligations survive even after account termination.
11. ACCEPTABLE USE POLICY
You agree NOT to:
Use the Software for unlawful activities
Upload harmful code, malware, or viruses
Attempt unauthorized access, reverse engineering, or decompilation
Interfere with the performance of the Service
Share login accounts with unauthorized persons
Host competitor access for analysis or benchmarking without permission
Violation may lead to immediate suspension or termination.
12. SERVICE AVAILABILITY & SUPPORT
We strive to provide 99% uptime, subject to:
Scheduled maintenance
Emergency updates
Server outages beyond our control
Third-party service disruptions
Support is available via:
Ticketing system
Phone (as per plan)
Turnaround times vary based on severity.
13. THIRD-PARTY SERVICES & INTEGRATIONS
Revolv ERP may integrate with external services such as:
Payment gateways
SMS/email gateways
GST/e-invoice APIs
Accounting or analytics tools
Location services (Google Maps)
We are not responsible for:
Third-party downtime
API pricing changes
Policy changes of third-party vendors
All third-party usage is subject to their own terms.
14. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
We are not liable for indirect, incidental, consequential, or business losses, including lost profits, data loss, or production losses.
Our maximum liability will not exceed the total subscription amount paid in the preceding three (3) months. The Software is provided “as-is” and “as-available”.
15. INDEMNIFICATION
You agree to indemnify and hold harmless In Centre Solutions, its employees, directors, and affiliates against claims, damages, losses, and legal fees arising from:
Misuse of the Software
Violation of laws
Uploading illegal or harmful data
Breach of these Terms
Unauthorized customizations or third-party integrations
16. TERMINATION OF SERVICES
We reserve the right to suspend or terminate accounts for:
Non-payment
Breach of Terms
Illegal activity
Abuse of services
Security threats
Misrepresentation or fraudulent use
Upon termination:
Data access may be revoked
Users must request backup/export within 15 days
Outstanding dues must be cleared immediately
17. INTELLECTUAL PROPERTY RIGHTS
All rights, including:
Software architecture
Source code
UI/UX design
Database structure
ERP workflows
AI algorithms
Analytics engine
Branding & trademarks
are owned exclusively by In Centre Solutions.
Copying, reproducing, or redistributing without permission is strictly prohibited.
18. GOVERNING LAW & JURISDICTION
This Agreement is governed by the laws of Government of India, Courts of Andheri Mumbai, Maharashtra. Any dispute, claim, or controversy shall be resolved exclusively in the courts located in Mumbai.
19. AMENDMENTS & UPDATES
We may modify these Terms at any time. Updated versions will be posted online. Continued use of the Software signifies acceptance of the updated Terms.
